Terms of Use

These Terms govern your use of elanacaplan.com (the "Site"), operated by Elana Caplan ("I," "me," or "my"). By using the Site, you agree to them. If you do not agree, please do not use the Site.
What this Site is
The Site describes an operations advisory practice and provides general information about my approach and services. It is a marketing and information resource. Nothing on it constitutes legal, financial, accounting, tax, or professional advice, and nothing on it should be relied on as a substitute for advice specific to your situation.
No client relationship
Using the Site, reading its content, submitting a contact form, or exchanging emails with me does not create an advisory, consulting, or professional relationship. A client relationship is formed only through a signed written engagement agreement that defines scope, fees, deliverables, and terms. Until that agreement is executed, no obligations are owed by either party.
Confidentiality of inquiries
Please do not send confidential, proprietary, or sensitive information through the Site or by email before an engagement agreement is in place. Information sent before that point is not protected by any confidentiality obligation. Once an engagement agreement is signed, confidentiality is governed by that agreement.
Intellectual property
All content on the Site, including text, frameworks, methodology descriptions, graphics, and design, is owned by me or used with permission and is protected by copyright and other intellectual property laws. You may view, download, and print content for your own non-commercial reference. You may not reproduce, republish, distribute, sell, or use it to create derivative works, or use it for commercial purposes, without my prior written permission.
Referencing my work with attribution and a link back to the Site is permitted.
Acceptable use
You agree not to use the Site to transmit malicious code, attempt to gain unauthorized access to any system, scrape or harvest content or data by automated means, impersonate any person, interfere with the Site's operation, or use it for any unlawful purpose.
Accuracy and availability
I aim to keep the Site accurate and current but make no representation that it is complete, error-free, or up to date. I may change, suspend, or discontinue any part of the Site at any time without notice. I do not guarantee uninterrupted access.
Third-party links
The Site may link to third-party websites or tools, including scheduling services. I do not control them, do not endorse their content, and am not responsible for their availability, accuracy, or practices. Your use of them is governed by their own terms.
Disclaimer of warranties
The Site is provided "as is" and "as available." To the fullest extent permitted by law, I disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability.
Limitation of liability
To the fullest extent permitted by law, I am not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, data, business opportunity, or goodwill, arising out of your use of or inability to use the Site, whether based in contract, tort, negligence, or otherwise, even if advised of the possibility of such damages.
Where liability cannot be excluded, my total aggregate liability arising from the Site is limited to CAD $100.
Nothing in these Terms limits liability for fraud or for anything else that cannot be limited under applicable law.
Indemnity
You agree to indemnify and hold me harmless from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Site.
Privacy
Your use of the Site is also governed by my Privacy Policy, which is incorporated into these Terms by reference.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. You agree to the exclusive jurisdiction of the courts of Ontario, and you waive any objection to venue in those courts.
Changes
I may revise these Terms at any time. Continued use of the Site after changes are posted means you accept the revised version. The effective date above reflects the most recent version.
Severability
If any provision is found unenforceable, the remaining provisions stay in effect.
